Terms of Service

Effective May 12, 2026

These Terms of Service (the “Terms”) form a binding agreement between you and Vane Health, Inc., a [STATE] corporation with offices at 1266 Treat Avenue, San Francisco, CA 94110 (“Vane,” “we,” “us,” or “our”). They govern your access to and use of vanehealth.com, the Vane member application, and any related services we make available (collectively, the “Service”). By creating an account, purchasing a membership, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, you may not use the Service.

Important medical disclaimer.

Vane is a technology platform. Vane does not provide medical advice, diagnosis, or treatment, does not practice medicine, does not establish a doctor-patient relationship with you, and does not dispense medication. All clinical care is provided by independent licensed clinicians employed or contracted by OpenLoop Healthcare Partners, P.C. and its state-affiliated professional corporations, and medications are dispensed by independent licensed pharmacies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. If you are experiencing thoughts of self-harm, call or text 988.

1. Acceptance and Changes

By accessing or using the Service you accept these Terms and agree to be bound by them. We may modify these Terms at any time. We will post the updated Terms with a new effective date and, for material changes, will give you advance notice by email or in-product banner. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.

2. About Vane and the Service

Vane operates a men’s health and longevity membership platform that pairs members with independent licensed clinicians employed or contracted by OpenLoop Healthcare Partners, P.C.and its state-affiliated professional corporations (the “Medical Group”). The Service may include, depending on your tier and program: lab order facilitation through CLIA-certified reference laboratories; access to asynchronous and, where applicable, synchronous communication with clinicians; shipment of medications prescribed by independent clinicians and dispensed by partner pharmacies; an AI-assisted health coach; educational content; and account management tools.

The Service is offered solely as a platform. Vane itself does not practice medicine, prescribe medications, fill prescriptions, perform laboratory testing, or provide clinical care of any kind.

3. Independent Clinicians and Pharmacies

The clinicians who review your information and, where they deem clinically appropriate, write prescriptions are not employees or agents of Vane. They are independent licensed professionals employed or contracted by the Medical Group (currently OpenLoop Healthcare Partners, P.C. and its state-affiliated professional corporations), with which Vane has administrative service arrangements. The doctor-patient relationship, if formed, is exclusively between you and the clinician.

Clinical decisions, including whether to prescribe medication, what to prescribe, at what dose, and for what duration, are made by the clinician in the exercise of independent professional judgment based on your information. Clinicians may decline to prescribe or recommend continuing care. Vane does not influence or control clinical decision-making.

Medications, where prescribed, are dispensed by licensed retail or 503A compounding pharmacies. Those pharmacies are independent businesses responsible for their own dispensing practices, compounding standards, and product liability.

4. Eligibility

To use the Service you must be at least eighteen (18) years old, a resident of the United States located in a state where the Service is available, able to form a legally binding contract, and not barred from using the Service under applicable law. The Service is not directed to or intended for minors.

Certain programs are not appropriate for individuals with specific medical conditions or histories. The clinician will evaluate medical appropriateness; you are responsible for providing accurate and complete medical information.

5. Accounts

You must create an account to access most features of the Service. You agree to provide accurate, complete, and current information and to update it as needed. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You agree to notify us immediately at security@vanehealth.com of any unauthorized use. Vane is not liable for losses arising from your failure to safeguard your credentials.

6. Membership, Fees, and Renewal

Vane memberships are sold on a recurring subscription basis. By purchasing a membership you authorize Vane and its payment processor to charge your payment method the applicable fee on each billing date until you cancel. Memberships renew automatically at the end of each billing cycle at the then-current rate.

You may cancel at any time from your account settings or by emailing support@vanehealth.com. Cancellation stops future renewals. Except where required by law, fees already paid are non-refundable, and the Service will remain available through the end of the paid period.

We may change fees at any time. We will give you at least thirty (30) days’ notice before a price change takes effect, and you may cancel before the new price applies.

7. Laboratory Services

Vane may arrange for laboratory testing through CLIA-certified reference laboratories such as Quest Diagnostics and LabCorp. Lab orders are placed by an independent clinician under the practice protocol. The lab is solely responsible for specimen collection, testing accuracy, and result reporting. You are responsible for completing draws within the validity window and for any additional fees charged directly by the laboratory.

Lab results are made available to you through the Service and reviewed by a clinician. Vane does not interpret laboratory results in a manner that constitutes medical advice; any narrative summaries presented in the Service are educational and are not a substitute for clinician review.

8. Medications, Compounding, and Prescriptions

Some Vane programs involve medications, including testosterone and other hormone-related therapies, oral and topical hair-loss treatments, GLP-1 receptor agonists, and other prescription products. Vane does not prescribe, manufacture, compound, dispense, ship, or refund medications. Independent licensed clinicians prescribe where they consider it clinically appropriate; independent licensed pharmacies dispense.

Certain medications may be compounded by a state-licensed 503A compounding pharmacy on the basis of an individual prescription. Compounded medications are not FDA-approved drug products and are not subject to the same pre-market review as FDA-approved finished drug products. Compounded preparations may carry risks, including but not limited to potency variation, sterility concerns, contaminant exposure, allergic reaction, and other adverse effects. You acknowledge these risks. The decision to use a compounded preparation is made jointly by you and the prescribing clinician.

All medications carry risks of side effects and adverse events. You are responsible for reading the medication information provided by the dispensing pharmacy and for promptly reporting adverse events to your clinician. If you experience a severe adverse reaction, call 911 or seek emergency care.

9. AI Health Coach and Educational Content

The Service may include an AI-assisted health coach and educational materials including articles, lab guides, and protocol summaries. The AI health coach and educational content are provided for informational purposes only. They do not constitute medical advice, diagnosis, or treatment recommendations, and they do not establish a doctor-patient relationship.

AI-generated outputs may be inaccurate, incomplete, or out of date. You should not rely on AI-generated outputs for medical decisions and should consult a licensed clinician for clinical decisions about your care.

10. No Emergency Services

The Service is not designed for emergency or urgent medical situations. Do not use the Service to seek emergency care. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room. If you are experiencing thoughts of self-harm, call or text 988 (Suicide and Crisis Lifeline) or text HOME to 741741 (Crisis Text Line).

12. Acceptable Use

You agree not to: provide false, misleading, or fraudulent information; attempt to obtain medications through misrepresentation; share, resell, or redistribute medications dispensed to you; impersonate any person; interfere with or disrupt the Service; access the Service through automated means except where expressly permitted; reverse engineer, decompile, or extract source code; scrape, harvest, or collect data from other users; or use the Service in violation of any applicable law, including controlled-substances laws.

13. Vane Content and Your Content

Vane content, including the platform’s software, design, text, graphics, logos, articles, lab guides, and trademarks, is owned by Vane or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Vane grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial use.

You retain ownership of the content you submit to the Service, including health information, photographs, and messages (“Your Content”). You grant Vane a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, and share Your Content as necessary to provide the Service, including sharing relevant clinical information with affiliated clinicians and partner pharmacies and laboratories.

14. Third-Party Services

The Service relies on third-party providers for payment processing, hosting, analytics, laboratory testing, pharmacy fulfillment, communications, and other functions. Your interactions with those third parties are governed by their respective terms and privacy practices. Vane is not responsible for the conduct, products, services, or content of any third party.

15. Privacy and Health Information

Our handling of personal information is described in our Privacy Policy. Protected health information generated in the course of clinical care by affiliated clinicians and partner pharmacies is governed by the Notice of Privacy Practices issued by the relevant covered entity.

16. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free. Vane does not warrant any specific medical outcome or that the Service will meet your expectations. No information obtained from the Service shall create any warranty not expressly stated in these Terms.

17. Limitation of Liability

To the maximum extent permitted by law, in no event shall Vane, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of the Service, even if Vane has been advised of the possibility of such damages. Vane’s total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of one hundred dollars ($100) or the amounts paid by you to Vane in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, and in such cases the foregoing exclusions and limitations apply only to the extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Vane and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

19. Termination

You may terminate these Terms at any time by closing your account. Vane may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms or risk to the safety of you, other users, or the Service. Sections that by their nature should survive termination (including Sections 13 through 20) will survive.

20. Arbitration and Class Action Waiver

Please read this section carefully. It affects your rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, except that either party may bring an individual action in small-claims court. The arbitration shall take place in San Francisco, California, or by videoconference, and shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

You and Vane each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Class arbitrations and class actions are not permitted.

You may opt out of this arbitration provision by sending written notice to legal@vanehealth.com within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

21. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. To the extent any dispute is not subject to arbitration as provided above, the state and federal courts located in San Francisco County, California shall have exclusive jurisdiction, and you consent to personal jurisdiction in those courts.

22. General

These Terms, together with the Privacy Policy and any other agreement referenced here, constitute the entire agreement between you and Vane regarding the Service. Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our prior written consent; we may assign these Terms freely. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be provided by email or through the Service; notices to Vane should be sent to the address below.
